Terms & Conditions

Version 1.3 · Effective date: October 1, 2026

PLEASE READ THESE TERMS CAREFULLY. BY CREATING OR ACTIVATING AN ACCOUNT, CLICKING “I AGREE”, OR USING THE ACCOUNT AREA, YOU AGREE TO THESE TERMS. THESE TERMS INCORPORATE A BINDING ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, A JURY TRIAL WAIVER AND A ONE-YEAR DEADLINE FOR CLAIMS (SECTION 13), AND LIMIT DEXTALL’S LIABILITY (SECTIONS 9 AND 10).

These Terms & Conditions (“Terms“) govern your access to and use of kora.studio, the Kora Studio Account Area and related web pages (together, the “Site“), operated by Dextall Inc., a New York corporation, 575 Lexington Ave, Floor 14, New York, NY 10023 (“Dextall“, “we“, “us“). Use of the Kora Studio software is governed by the Kora Studio End User License Agreement (“EULA“). Capitalized terms used in these Terms and not defined here have the meanings given in the EULA. If you accept on behalf of an organization, you represent that you are authorized to bind it, and “you” includes that organization.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Account Area. The Site is intended solely for business and professional users in the architecture, engineering and construction industry, and you represent that you use it for purposes relating to your trade, business or profession and not as a consumer.

2. Accounts and administrators

2.1 Access to the Account Area is by invitation or by self-registration where Dextall enables it. Dextall may create accounts, assign License Keys, and set license start and expiration dates.

2.2 You must keep your sign-in credentials confidential, keep them secure, and not share your account. You are responsible for all activity under your account. Tell us immediately at privacy@kora.studio if you believe your account has been compromised.

2.3 Dextall may suspend or close accounts that are inactive, that breach these Terms or the EULA, or that pose a security risk. You may close your account at any time by contacting privacy@kora.studio, and your organization’s administrator may also remove your access.

2.4 Administrators. An organization may designate administrators in the Account Area. The organization represents that each administrator is authorized to act for it, including to invite users, assign, reassign and revoke License Keys, set license dates where Dextall permits, and accept the EULA and these Terms on its behalf. Dextall may rely on any instruction given through an administrator account without further inquiry. The organization is responsible for the acts and omissions of its administrators and users, for removing access when a person leaves or is no longer authorized, and for giving its personnel any legally required notices about the data described in EULA Section 7 and Section 8 of these Terms. Administrators can view account and license information of users in their organization.

3. Acceptable use

You agree not to:

  • access or attempt to access accounts, License Keys, systems or data that are not yours;
  • probe, scan or test the vulnerability of the Site, or breach any security or authentication measures;
  • interfere with or disrupt the Site, including by uploading viruses or malicious code, or by overloading it;
  • scrape, crawl or use automated means to access the Site, except public search-engine indexing;
  • resell, publish or share License Keys, license files or download links;
  • impersonate any person, misrepresent your affiliation, or register using false or misleading information;
  • use the Site if you are, or act for, a competitor of Dextall in designing, manufacturing or supplying facade systems, without Dextall’s prior written consent;
  • use Site content to train, fine-tune or improve any machine-learning or artificial-intelligence model or system; or
  • use the Site for any unlawful purpose, in breach of export control or sanctions laws, or while located in a Restricted Territory (as defined in EULA Section 16.1).

4. Intellectual property and trademarks

The Site and all its content — including text, graphics, logos, software, documentation, images and videos — are owned by Dextall or its licensors and are protected by intellectual property laws. You may view and print Site content for your internal business use in connection with Kora Studio. You may not otherwise copy, modify, distribute or create derivative works from it without Dextall’s written permission. “Dextall” and “Kora Studio” are trademarks of Dextall; their use is governed by EULA Section 6.6. Autodesk and Revit are registered trademarks of Autodesk, Inc.

5. Downloads and license keys

Software available through the Site is licensed under the EULA, which you must accept before activating or using the Software. License Keys are issued or assigned to the Authorized User named on the account and are subject to the EULA.

6. Information on the Site

Content on the Site, including product descriptions, performance figures, case studies and technical information, is provided for general information. It may change without notice, may contain errors, and does not form part of any contract unless expressly incorporated into one signed by Dextall. Cost, schedule, energy and other performance figures and case studies describe specific past projects under specific conditions; they are illustrations, not guarantees, forecasts or offers, and your results will vary. Nothing on the Site is professional architectural, engineering or legal advice, and Dextall owes no duty to any person who relies on Site content.

7. Third-party links and services

The Site may link to third-party websites or use third-party services (for example, for hosting, security, licensing or email). Dextall does not control and is not responsible for third-party websites or services, and your use of them is subject to their own terms.

8. Privacy and security

8.1 Site and Account Area. Through the Site, Dextall collects account details you or your organization’s administrator provide (such as name, business email address, organization and role); License Key assignments and dates; sign-in and security records; and technical data about your visit, such as IP address, browser and device information and pages viewed, including through cookies and similar technologies, which you can manage through the Site’s cookie settings, where provided, and your browser. Dextall uses this data to operate, secure and improve the Site, manage accounts and License Keys, communicate with you about your account and Kora Studio, and comply with law. Dextall keeps account details and License Key records while your account is active and for up to 24 months after it is closed, sign-in and security records for up to 12 months, and website usage data for up to 14 months, unless a longer period is required by law or to resolve disputes. Dextall discloses it to service providers acting on its behalf (such as hosting, website, security, email and licensing providers), to your organization’s administrators, to a successor in a merger, acquisition or sale of assets, and where required by law or to protect rights and safety.

8.2 The Kora Studio software. Data collected by the software itself (license validation and error reporting) is described in EULA Section 7. Your privacy rights, the legal bases for processing and international transfers are described in EULA Sections 7.8 and 7.9, which apply equally to data collected through the Site.

8.3 Contact. For any privacy question or request, contact privacy@kora.studio.

8.4 Security. Dextall uses administrative, technical and physical safeguards designed to protect account data, but no website or system is completely secure. You are responsible for your credentials, devices and networks and for promptly notifying Dextall of any suspected compromise. Dextall will notify affected users of a security incident where and as required by applicable law. Do not submit through the Site any project files or confidential design information unless Dextall requests them through a designated support channel.

8.5 Marketing messages. You may opt out of marketing messages at any time using the unsubscribe link or by contacting privacy@kora.studio. Service and account messages will continue.

9. Disclaimers

THE SITE AND ALL CONTENT ON IT ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEXTALL AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY AND COMPLETENESS. DEXTALL DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.

10. Limitation of liability

10.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DEXTALL, ITS AFFILIATES, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR ITS CONTENT, HOWEVER CAUSED AND WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 DEXTALL’S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS AND THE EULA TOGETHER IS LIMITED AS SET OUT IN EULA SECTION 12.2 AND IS NOT CUMULATIVE. WHERE THE EULA DOES NOT APPLY TO YOU, DEXTALL’S TOTAL LIABILITY RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

10.3 These limitations are an essential basis of the bargain and apply even if a remedy fails of its essential purpose. Nothing in these Terms excludes or limits liability for fraud, or any liability for gross negligence, willful misconduct, or bodily injury or death caused by negligence, to the extent it cannot be excluded or limited under applicable law.

11. Indemnity

To the fullest extent permitted by law, you will defend, indemnify and hold harmless Dextall and its affiliates, officers, directors, employees, contractors and agents from third-party claims, losses and expenses (including reasonable attorneys’ fees) arising from your use or misuse of the Site or your breach of these Terms. EULA Sections 13.2 and 13.3 apply to this Section.

12. Changes, termination and survival

Dextall may update these Terms by posting a revised version with a new effective date. For material changes, Dextall will give at least 15 days’ notice through the Account Area or by email before they take effect, and may require you to accept the updated Terms to continue using the Account Area. Continued use after the effective date means you accept them. Changes do not apply to any dispute of which Dextall had notice before the change took effect. Changes to the dispute resolution provisions are subject to the rejection right in EULA Section 15.11. Dextall may suspend or end your access to the Site at any time, including for breach of these Terms, and may modify or discontinue any part of the Site without liability. Sections 3, 4, 6, 7, 9, 10, 11, 13 and 14 survive any suspension or termination.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Section 15 of the EULA (Dispute Resolution; Binding Arbitration; Class Action Waiver), including binding individual arbitration, the class action waiver, the jury trial waiver, the one-year time limit for claims and your right to opt out of arbitration within 30 days, is incorporated into these Terms as if set out in full, with references to “this Agreement” read as references to these Terms, and applies to any Dispute relating to the Site or the Account Area.

14. General

14.1 Relationship with the EULA. These Terms govern the Site and the Account Area; the EULA governs the Software, License Keys, Outputs, Dextall Elements and data collected by the Software. If they conflict, the EULA prevails for anything relating to the Software, License Keys, Outputs, Dextall Elements or Software data, and these Terms prevail for anything relating only to the Site. These Terms and the EULA are the entire agreement regarding the Site; no statement on the Site or elsewhere creates any warranty not stated in them. A signed agreement meeting EULA Section 16.4 prevails over both.

14.2 Electronic communications. You consent to receive agreements, notices, disclosures and other communications from Dextall electronically, by email to your account address or through the Site, Account Area or Software, and agree that they satisfy any legal requirement that they be in writing.

14.3 No third-party beneficiaries. These Terms confer no right, benefit or remedy on any person other than the parties and their permitted successors and assigns, except that Dextall’s affiliates, officers, directors, employees, contractors and agents may enforce Sections 9, 10 and 11.

14.4 Other terms. If any provision is unenforceable, the remainder stays in effect. You may not assign these Terms; Dextall may assign them to an affiliate or successor. No provision will be interpreted against Dextall as drafter. Failure to enforce a provision is not a waiver.
